13. Governing Law & Jurisdiction

Choice of Law and Jurisdiction. All questions concerning the validity, operation, interpretation, and construction of this Agreement shall be governed by and determined in accordance with the laws of India. Any dispute or difference arising between the parties out of or relating to the construction, meaning, scope, operation or effect of this agreement shall be referred for arbitration of the Delhi International Arbitration Centre. The TISI will appoint the sole arbitrator and will conduct the arbitration in accordance with its rules for conduct of arbitration proceedings then enforce and applicable to the proceedings. This award shall be binding on both parties. Arbitration shall be held in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The seat and venue of all such Arbitration shall be Delhi. Arbitration proceedings shall be undertaken in English.
